1. Introduction & Acceptance of Terms

By accessing or using Flux+Form’s website, AI solutions, or consulting services, you agree to abide by these Terms of Service. These terms define the rights, responsibilities, and limitations of both Flux+Form and our clients. If you do not agree with any part of these terms, you should not use our services.

2. Services Provided

Flux+Form provides AI-powered consulting, automation, and digital transformation services to small and medium-sized businesses (SMBs). Our services include but are not limited to:

  • AI Chatbot Development
  • AI-Powered Marketing Automation
  • AI Workflow & Process Automation
  • AI-Driven Customer Engagement Solutions
  • Business Intelligence & AI Analytics
  • AI Agent & Automation Development

3. Payment Terms & Service Agreements

3.1 Payment Structure

Payments are determined based on the type of solution provided:

  • AI Agents & Automations – Due before implementation due to their intellectual property (IP) nature.
  • Custom AI Solutions & Retained Services – Net 30 payment terms apply unless otherwise stated in a client contract.
  • Late Payments – Invoices overdue beyond 30 days will be billed at the maximum allowable interest rate permitted by law.
  • Non-Payment – Failure to pay will be addressed aggressively, which may include service suspension, legal action, or collection procedures.

3.2 Refunds & Service Guarantees

Flux+Form does not offer refunds for completed AI solutions, unless:

  • The AI solution fails to function as designed and cannot be corrected after reasonable effort.
  • The client has provided complete, accurate, and ethical information for building the solution.

Clients are responsible for providing all necessary information upfront to ensure ethical, functional, and successful implementation.

4. AI-Generated Content & Human Oversight

4.1 Limitations of AI

AI-generated outputs are based on existing data and machine learning models. While we strive for accuracy, AI is:

  • Not infallible and may require human verification.
  • Continuously learning but cannot guarantee future-proof accuracy.

4.2 Human Review (HITL Process)

  • All AI-generated content, insights, and recommendations are reviewed by human experts before implementation.
  • Clients must validate AI-generated content before using it in critical decisions.

4.3 AI Errors & Updates

If an AI-generated output contains an error or misinterpretation:

  • Flux+Form will make best-effort corrections once notified.
  • Updates will be prioritized based on business impact.
  • We strive to be transparent, truthful, and accurate in every AI-driven recommendation.

4.4 Ownership of AI-Generated Work

Ownership of AI-generated solutions depends on the project type:

  • AI Agents & Automations – Non-transferable licenses apply; these are not work-for-hire projects.
  • Marketing & Content AI Solutions – Clients own the AI-generated content, and Flux+Form claims no ownership over it.
  • Custom AI Workflows – Ownership will be defined per contract.

5. User Responsibilities & Acceptable Use

Clients must comply with:

  • Local laws & regulations governing AI and automation.
  • Ethical AI guidelines outlined in our official statement: How Flux+Form Uses AI.

Prohibited Uses:

  • Clients may not resell AI solutions without express written permission.
  • Clients may not modify AI solutions in a way that voids compliance, security, or ethical guidelines.

6. Privacy & Data Security

6.1 Client Data Handling

Flux+Form does not store Personally Identifiable Information (PII) about our clients or their customers.

However, for billing-related integrations, we may require sensitive information such as API keys. This data is:

  • Used only for the duration of implementation.
  • Destroyed upon completion of the project.

6.2 Data Sharing

  • Flux+Form does not share client data with third parties.
  • We do not store, sell, or use customer data for purposes beyond the intended service agreement.

6.3 Security Practices

Flux+Form follows industry best practices to protect sensitive client data, including:

  • Access Control & User Permissions: Only authorized team members have access to sensitive project data and API keys. Multi-Factor Authentication (MFA) is required for all system logins.
  • Data Encryption: Sensitive client data, including API keys, is encrypted during transmission and securely handled during implementation.
  • Role-Based Access Control (RBAC): Employees are only granted access to information necessary for their specific project roles.
  • Incident Response Plan: In the event of a data breach or security vulnerability, affected clients will be notified as soon as possible with recommended steps for resolution.
  • No Long-Term Storage: We do not retain sensitive client data beyond the period necessary for implementation.

7. Service Termination & Dispute Resolution

7.1 Termination by Flux+Form

Flux+Form reserves the right to terminate service agreements if a client:

  • Fails to comply with legal, ethical, or operational requirements.
  • Misuses AI solutions in ways that contradict our ethical AI principles.
  • Fails to make payments according to agreed terms.

7.2 Dispute Resolution

  • We prefer mediation for resolving disputes before taking legal action.
  • If mediation fails, disputes will be settled via arbitration in North Carolina unless another jurisdiction is agreed upon in writing.

8. Updates to Terms of Service

Flux+Form may update these terms periodically to reflect:

  • Changes in AI regulations, industry best practices, or business operations.
  • Updates will be announced on our website, and continued use of our services implies acceptance of the revised terms.
